1. Acceptance of Terms

By registering for and using PanyaSchoolKit (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, please discontinue use of the Service.

The person registering must be authorized to act on behalf of the educational institution (e.g., principal, founder, owner) or hold valid power of attorney.

2. Definitions

• "Company" means Panya Ventures Co., Ltd.
• "Service" means the PanyaSchoolKit school management SaaS platform accessed via panyaschoolkit.com
• "School" or "Customer" means the educational institution subscribing to the Service
• "User" means any person using the system (owner, teacher, parent, student)
• "Plan" means a service tier offered: Starter, Pro, or Premium

3. Service Description

The Company provides a multi-tenant SaaS platform for school management, including:

• Student, teacher, and parent data management
• Class and schedule management
• Internal school communications
• Data storage and reporting

The Company reserves the right to add, modify, or remove features of the Service. Material changes will be communicated in advance.

4. Account Registration

You must provide accurate and current information during registration, including email, school name, and a valid payment method.

Users are responsible for maintaining the confidentiality of their account credentials and all activities conducted under their account.

5. Payment & Subscription

5.1 Fees and Billing Cycle

Service fees are charged in advance on a monthly or annual basis based on the selected Plan. Prices are quoted in Thai Baht (THB), exclusive of VAT (if applicable).

5.2 Free Trial

New customers receive a 14-day free trial with a credit card on file from day one. Automatic billing begins at trial end unless canceled.

5.3 Auto-Renewal

Subscriptions auto-renew at the end of each billing cycle. Customers may cancel at any time via the Billing page.

5.4 Failed Payments

If a charge fails, the account enters "past_due" status with a 7-day grace period before suspension.

6. Cancellation & Refunds

You may cancel anytime. Cancellation takes effect at the end of the current billing cycle — access is retained until expiration.

7. User Obligations

You agree to:

• Use the Service only for lawful purposes
• Not attempt unauthorized access, hacking, or reverse engineering
• Not upload illegal, obscene, or copyright-infringing content
• Not send spam, phishing, or fraudulent communications
• Respect student and parent privacy per Thai PDPA law

8. Intellectual Property

The software, logo, "PanyaSchoolKit" trademark, and all related intellectual property remain the property of the Company.

Data uploaded by Customers (e.g., student records, lesson content) remains the property of the Customer. The Company acts solely as a custodian and service provider.

9. Privacy

Personal data processing is governed by our Privacy Policy, compliant with the Thailand Personal Data Protection Act B.E. 2562 (PDPA).

10. Limitation of Liability

The Service is provided "as-is" without warranties of any kind.

To the maximum extent permitted by law, the Company is not liable for indirect damages, lost profits, or data loss. Maximum liability is limited to fees paid in the current billing cycle.

11. Termination

The Company reserves the right to suspend or terminate accounts that:

• Violate these Terms
• Have unpaid balances exceeding the grace period
• Engage in activity harmful to the system or other users

After termination, data is retained for 90 days before permanent deletion. Customers may recover or export data during this window.

12. Changes to Terms

The Company may update these Terms at any time. Material changes will be notified via email at least 30 days in advance.

13. Governing Law

These Terms are governed by the laws of Thailand. Disputes fall under the jurisdiction of Khon Kaen Province courts.
